Asking whether to buy in your own name or through a company sounds like a choice between a good option and a bad one. In practice it is a set of trade-offs. The register entry, the real control and profit, the annual costs, the bank conversation, succession and the eventual exit can each point in a different direction. This article shows how to compare them using your own facts, without promising that either route always wins. For purchase costs, see our guide to Dubai apartment buying and ownership costs, and for the order of formalities, the step-by-step buying guide. Facts were verified on 29 October 2026.
Who is on the register and who is the economic owner
Separate property title, company shares, ultimate control and liability for debts. When the company owns the unit, a shareholder owns shares rather than the unit directly. Establish the ultimate beneficial owner and authorised signatory from the full structure and documents; neither should simply be assumed to be the immediate shareholder.
Not every jurisdiction or company type can own every property in Dubai. DMCC and IFZA operate in Dubai, but a zone in another emirate, such as Ras Al Khaimah, is not automatically a Dubai entity for purchase purposes. Before paying a deposit, get written confirmation from the Dubai Land Department (DLD), the zone and the financing bank for the exact legal entity, the exact property and the exact ownership structure.
Buying personally and the UAE tax boundary
According to the FTA guide of October 2024 (CTGREI1), a natural person's real estate investment falls outside Corporate Tax when it is not run through a licence and does not require one. Ejari is an administrative record, not a licence. A holiday home permit may be a relevant licence, and failing to obtain a required licence does not create an exemption.
That is a narrow boundary, not a slogan of zero tax. It does not mean zero tax worldwide, and it does not cover every personal activity; short-term letting deserves its own check. Your obligations elsewhere depend on your residence and facts. Also, the tax residence of a person and of a company are separate questions, and the answer for one does not settle the other.
The main advantage of personal ownership is simplicity: one person in the paperwork and no entity to run, file for and eventually close.
Companies and free zones: 0% is not the default
The FTA guide on Qualifying Free Zone Persons (May 2024) ties the 0% rate only to qualifying income and to meeting the conditions. Incorporating in a free zone does not give 0% automatically, and income from residential property is not automatically qualifying commercial income.
Compare company administration: formation, renewal, accounting, any required audit, banking and closure. Separate one-off and annual costs, and package inclusions from extras. Confirm obligations for the particular entity and its activities.
A hypothetical running-cost calculation
Hypothetical example in AED: after property operating and management costs, annual income is 90,000 before tax and financing. Assume personal-owner administration adds no further cost in this exercise. Company administration adds 15,000 a year, leaving 75,000 before tax and financing. These are comparison assumptions, not market quotations.
Over five years, additional company administration totals AED 75,000 (5 × 15,000), assuming an unchanged fee. Formation, closure, tax and financing are excluded; professional fees already included in annual administration must not be counted again.
None of this shows that a company is always worse. Commercial partners, separating risk from the rest of your assets, clear entry and exit rules, or financing terms can justify the 15,000 a year. The question is whether the specific benefit is real and documented.
Financing, banking and the asset-protection shield
A bank may assess a person and a company differently: different documents, deposit, security and often personal guarantees from the shareholders. Before paying a deposit, ask for written terms for exactly this structure. The same goes for a business account: IFZA mentions banking assistance, but the documents depend on the bank and the structure, and an account is not guaranteed.
An operating company (OpCo) and holding company (HoldCo) layout is sometimes presented as a shield. That is a label, not a guarantee. Whether assets are truly separated depends on the facts: who gave guarantees, which contracts were signed, how the companies are run and what rights creditors have. Where you give a personal guarantee, the company form alone may protect little.
Succession, visas and rights that come with ownership
With personal ownership, heirs deal with a property; with a company, they deal with shares and company documents. Neither is universally simpler. The outcome depends on the governing law, any will, the shareholder agreement and the registry's requirements, and a company may add another layer of formalities. Ask for the procedure in writing before you buy.
Do not assume that an ownership form gives residence rights, a visa or a change in tax residence either. Check visa conditions with the official source for your situation and the exact title structure.
Home-country rules, control and place of management
Commission an assessment in your country of tax residence and wherever the company is actually managed. Ask about the company’s own residence, any controlled foreign company (CFC) rules, distributions to shareholders and evidence of real activity. The answer should address your actual structure rather than the zone’s name.
Personal use and related-party dealings
If you or your family live in a property owned by a company, or the company lets it to a related party, check market valuation, tax consequences and the paperwork before you start. A friendly arrangement can be challenged. We provide no calculations, because they depend on the facts and on residence.
Exit: selling the property, selling shares, liquidation
Selling a property and selling shares in the owning company are two different transactions, with different documents, approvals and tax consequences. Do not assume a share sale avoids registration fees; check with the DLD before negotiating a price. A buyer may also want extra due diligence on the company.
If the company is to be closed, plan the liquidation: settling liabilities, closing the licence and bank accounts, and distributing funds. Keep contracts, statements, fee receipts and resolutions, and agree the retention period with your adviser.
Checklist before you pay a deposit
If you cannot answer most of these from a source, that is a signal to hold off on paying.
- Which exact entity will buy, and have the DLD, the zone and the bank confirmed it in writing?
- Who is the economic owner and who guarantees any loan?
- What is the annual administration cost compared with the rent, and for how many years will you carry it?
- What financing terms has the bank given for this structure?
- What will heirs inherit, and how is it documented?
- Will you use the property privately?
- Who has checked the consequences for you in your home country?
Summary
Compare both forms on the same assumptions: purchase eligibility, costs, finance, tax, succession and exit. A company may be justified by a specific, confirmed benefit. This guide helps prepare questions; assess your individual structure with legal and tax advisers.
